1.1General provisions
This User Agreement (the “Agreement”) governs the relationship between ОсОО «Пэй Флоу» (Pay Flow LLC), registered at Kyrgyz Republic, Bishkek, Pervomaisky district, Klubny lane, 18, apt. 5 (the “Operator”, “we”), and the person using the Ultraproxy service (the “User”, “you”).
1.2Ultraproxy is the Operator’s online service available at ultraproxy.io and its subdomains, in the dashboard and via the Telegram bot (together, the “Service”). The Service provides paid access to proxy servers that the Operator obtains from third-party providers.
1.3The Agreement consists of this text, the Privacy Policy, the Acceptable Use Rules (section 12), and the tariffs and Service descriptions published on the Site and in the Dashboard. All of them form an integral part of the Agreement.
1.4The Agreement is deemed accepted in full upon any of the following: registering an Account, including via Google; clicking a button next to which a link to the Agreement is placed; topping up the Balance; placing or paying for an Order; first use of a Proxy. Acceptance with reservations is not allowed.
1.5If you disagree with any provision of the Agreement, don’t use the Service. Continued use means consent to the current version.
1.6By accepting the Agreement on behalf of an organization or sole proprietor, you represent that you have the necessary authority. In that case the organization is the User. Without such authority, you are personally bound by the Agreement.
1.7If mandatory consumer protection rules apply to the User, the Agreement applies to the extent it does not contradict them.
1.8The Service is not affiliated with the owners of the sites, platforms and services the User accesses through Proxies. Mentions of third-party services on the Site describe use cases and don’t imply endorsement or partnership.
02
2.1Definitions
The following terms are used in the Agreement:
- Site — the ultraproxy.io website, its subdomains and pages.
- Account, Dashboard — the User’s account and the private area of the Site for managing Services, the Balance, Orders and settings.
- Proxies — access granted to the User to a proxy server (IP address, port, protocol, credentials) or to a pool of proxy servers through which the User routes their internet traffic.
- Service — provision of access to Proxies for a Period or within a Traffic Package, plus related Service functions.
- Tariff — the conditions and price of a particular type of Service published on the Site.
- Order — the User’s request to buy or renew a Service or buy more traffic, with fixed parameters and amount.
- Period — the term of access to a Proxy; its start and end are shown in the Dashboard.
- Traffic Package — the volume of transferred data in gigabytes for traffic-billed Proxies, with a validity period if the Tariff sets one.
- Connection details — the address, port, login, password and other parameters for connecting to a Proxy.
- Balance — an internal accounting figure in the Dashboard reflecting the amount prepaid for Services.
- Provider — a third party supplying the Operator with proxy infrastructure and IP addresses.
- Target resource — a site, application, platform or server the User accesses through a Proxy.
- Connected service — a third-party service, including TradeOn Ultra, that the User has allowed to access their Account by approving the request in the Dashboard.
- Auto-renewal — automatic renewal of a Service at the expense of the Balance.
- Complaint — a notice from a third party, Provider or government authority about a violation related to the use of a Proxy.
- Support — the Operator’s support service: the “Support” section in the Dashboard and support@ultraproxy.io.
03
3.1Subject of the Agreement
For a fee, the Operator grants the User a limited, revocable and non-transferable right to use Proxies and Service functions under the Agreement. The User undertakes to pay for Services and comply with the Agreement.
3.2The Operator acts as an intermediary between the User and Providers: it selects a Provider, obtains and delivers Proxies, and tracks Periods and traffic. The Operator doesn’t own IP addresses, isn’t a telecom operator and doesn’t provide internet access services. By default, the Operator chooses the Provider.
3.3Proxy types are listed on the Site, including: dedicated server (datacenter); shared server, where one IP address is used by several users at once (up to three); ISP — static addresses of internet providers; residential and mobile, billed by traffic. The list of types, countries, cities and characteristics may change.
3.4When shared Proxies are used, the Operator isn’t liable for the actions of other users of the same IP address and their consequences, including restrictions imposed by Target resources.
3.5IP addresses are not transferred to the User’s ownership. When a Period ends, a Traffic Package is used up or a Service terminates, access to the Proxy ends and the IP address may be issued to someone else.
3.6Residential and mobile IP addresses belong to third-party devices and networks, are supplied by Providers and may change without notice. The Operator receives information about the sources of such addresses from Providers and doesn’t verify it independently.
3.7Figures on the Site — numbers of IP addresses and countries, speed, delivery time, availability, including in the storefront, calculator, demo blocks and status bar — are for reference only and are not a guarantee or obligation of the Operator.
3.8The Service’s recommendations on choosing a Proxy type for a task are informational, are not legal or other professional advice and don’t confirm that such use is permitted by law or by the rules of Target resources.
04
4.1Account and security
The Service is intended for persons aged 18 or over with full legal capacity. By signing up, you confirm that you meet these requirements.
4.2Registration uses an email address confirmed by a code, or a Google account. The User undertakes to provide a valid, working email address and keep access to it.
4.3The User is responsible for keeping their password, access to email and Google account and Connection details safe. All actions performed using the Account or Connection details are deemed performed by the User.
4.4The User must immediately report any unauthorized access or credential leak to Support. The Operator isn’t liable for consequences arising before such a report, or for consequences of the User’s failure to follow security measures.
4.5It is prohibited to create multiple Accounts to obtain discounts and bonuses again, bypass restrictions or a block, or to transfer an Account to third parties. Employees of a User organization may share one Account; the User is responsible for their actions.
4.6The Operator may at any time request proof of identity, of the right to use a payment method, information about the purposes of using the Service and other documents, in particular if fraud is suspected, a payment is disputed or a Complaint is received. Until the check is complete, the Operator may restrict access to the Service and the Balance. Refusing the check is grounds for terminating service.
4.7The Operator may refuse registration or service without giving reasons, including to persons previously blocked for violating the Agreement.
4.8The User agrees to receive messages from the Operator by email, in the Dashboard and in Telegram. Service notifications — about Orders, Period ends, Auto-renewal, changes to terms and security — are sent regardless of consent to marketing messages.
05
5.1Ordering and delivery
The User creates an Order by choosing the Proxy type, country and other parameters, quantity and Period or Traffic Package size, payment method and, if available, a promo code. The total is calculated on the Operator’s server and shown before payment.
5.2An Order is created when the “Pay” button is clicked. An unpaid Order is valid for a limited time (30 minutes by default), after which it closes. A repeat purchase is made at the current price and availability.
5.3Proxies aren’t reserved before delivery unless expressly stated at checkout. The Operator re-checks availability before delivery and doesn’t guarantee that Proxies with the chosen parameters are available at the time of payment.
5.4A paid Order is fulfilled after the payment is confirmed. Delivery usually takes a few minutes but may take longer for reasons on the Provider’s or payment system’s side. Delivery status is shown in the Dashboard.
5.5The Service is deemed rendered by the Operator and accepted by the User when the Connection details are displayed in the Dashboard or delivered to a connected service. The start of a Period is determined by the Provider’s confirmed data and shown in the Dashboard.
5.6If delivery is delayed, the Operator establishes the result of the operation with the Provider. Re-delivery happens only after duplication is ruled out. If delivery is finally impossible, the cost of undelivered items is refunded to the Balance.
5.7With partial delivery, the Order is deemed fulfilled for the delivered Proxies. The cost of undelivered items is refunded to the Balance, or they are delivered later by agreement with the User.
5.8If the price in an Order is clearly wrong due to a technical failure, typo or calculation error, the Operator may cancel the Order before or after delivery and refund the amount paid to the Balance.
5.9The Operator may replace a delivered IP address or Provider with equivalent ones if technical or legal reasons or the Provider’s requirements call for it. The remaining Period carries over to the new Proxy.
06
6.1Term, renewal and auto-renewal
Access to a Proxy is provided until the end of the Period shown in the Dashboard. In case of discrepancies, the Operator’s accounting system data prevail.
6.2Renewal follows the prices and terms in effect when it is placed. A Tariff change doesn’t affect Periods already paid for.
6.3When an active Proxy is renewed, the new Period is added to the current end date. For an expired Proxy, whether and how it can be renewed depends on the Provider’s rules and is shown before payment.
6.4Keeping the IP address after the Period ends is not guaranteed. The time during which an expired Proxy can be renewed is set for each Provider and Proxy type and may be shortened by the Provider. A deleted Proxy can’t be renewed — it stays only in history.
6.5Auto-renewal is charged only from the Balance and is enabled by the User for individual Proxies. The first charge attempt is made about 24 hours before the Period ends; if funds are short, attempts are repeated, usually every 6 hours and after a top-up, while renewal is possible.
6.6By enabling Auto-renewal, the User instructs the Operator to charge the Balance for the renewal at the price at the time of charging, without further confirmation. Auto-renewal can be turned off at any time before the charge.
6.7The Operator isn’t liable for a Proxy not being renewed or an IP address being lost due to insufficient Balance, Auto-renewal being off, the Provider’s refusal, a price change or a technical failure. The User monitors the terms of their Services themselves.
6.8Notifications about Period ends, Auto-renewal results and remaining traffic are auxiliary. Their delay or non-receipt doesn’t release the User from monitoring terms and is not grounds for claims.
07
7.1Traffic Packages
Residential and mobile Proxies are billed by traffic volume. The User gets access to a pool of IP addresses within the purchased Traffic Package and its validity period, if the Tariff sets one.
7.2Traffic volume includes all inbound and outbound data passing through the Proxy, including headers, protocol and encryption overhead, repeated and failed requests.
7.3Traffic is measured by the Operator’s and Provider’s systems. This data is final for billing; a discrepancy with readings of the User’s software is not grounds for recalculation.
7.4When a Traffic Package is used up or expires, access is suspended until a new Package is purchased. Unused traffic is forfeited at expiry and isn’t refunded, carried over or compensated.
7.5Choice of country, city, carrier, rotation type and session length is available within the Provider’s capabilities. The Operator doesn’t guarantee the availability of addresses in a particular location, session length or keeping the IP address during a session.
7.6Speed, latency and the share of successful requests through residential and mobile Proxies depend on third-party devices and networks and may vary significantly.
08
8.1Prices, payment and balance
Prices are shown on the Site and in the Dashboard in US dollars or rubles. The Operator may change prices at any time; changes don’t affect paid Orders.
8.2Payment is made from the Balance, in cryptocurrency or via SBP through third-party payment services. Available payment methods depend on the User’s country and may change.
8.3A payment is deemed made once it is confirmed by the payment system on the Operator’s server. Returning to the Site after payment, screenshots and receipts are not confirmation.
8.4Payments may be accepted by the Operator’s payment agents and partners. The payee name on a bank statement may differ from the Service’s name.
8.5Fees of banks, payment systems and blockchain networks, as well as exchange rate differences, are borne by the User unless stated otherwise at payment. When paying in a currency other than the Balance currency, the rate fixed in the invoice applies.
8.6When paying in cryptocurrency, the User must send the exact amount on the specified network and token to the specified address within the invoice’s validity. Funds sent on another network, in another token, to a wrong address or without the required memo/tag may be lost irrecoverably; the Operator isn’t liable for this. Any recovery attempt is at the Operator’s discretion and at the User’s expense.
8.7A payment received after an Order closes doesn’t fulfil the closed Order. Late, partial and excess payments are credited to the Balance after contacting Support and verification.
8.8The Balance is not a bank account, deposit, e-money or payment instrument; no interest accrues on it. The Balance is used only to pay for Services, can’t be transferred to other Accounts and can’t be exchanged for money, except in the cases of section 10.
8.9Bonuses from promotions and promo codes can’t be withdrawn or refunded and may have a validity period and usage restrictions.
8.10Each party pays its own taxes arising from its activities. If applicable law provides for indirect taxes, they may be added to the price.
8.11Amounts, dates and volumes of Services are determined by the Operator’s accounting data. The transaction history in the Dashboard is sufficient proof of settlements.
09
9.1Promo codes and discounts
Volume and term discounts apply automatically under the rules on the Site. A promo code may give a percentage or fixed discount and have a validity period, minimum Order amount, usage limits and a list of eligible Services.
9.2Unless the promo code’s terms say otherwise, it can’t be combined with the volume discount or other promo codes.
9.3Promo codes and discounts can’t be exchanged for money. For a refund on a discounted Order, the amount actually paid is refunded.
9.4The Operator may cancel a promo code, discount or bonus and debit the benefit received from the Balance if it was obtained in breach of the terms, including through multiple Accounts.
10
Refunds and payment disputes
[ IMPORTANT · REFUNDS ]
10.1The Service is deemed rendered when the Connection details are delivered. After delivery, funds are not refunded except in the cases expressly stated in this section.
A Proxy is a digital service that begins right after payment. By placing an Order, the User asks for the Service to start immediately. If applicable law gives the User the right to withdraw from the Service, on withdrawal they pay for the elapsed part of the Period and the traffic used; once the Service is fully rendered, the right of withdrawal is lost.
10.2The Operator refunds funds if:
10.3- an Order is paid but Proxies are not delivered in full or in part — for the cost of undelivered items;
- a Proxy doesn’t work for reasons on the Operator’s or Provider’s side and a replacement couldn’t be provided under section 11 — in proportion to the remaining part of the Period;
- a renewal is paid but not performed — for the cost of the renewal;
- the Operator stopped providing the Service with no breach by the User — in proportion to the unused part of the Period or Traffic Package.
Funds are not refunded, among other cases, if:
10.4- a Target resource restricts access, shows a captcha, or blocks the IP address or the User’s accounts;
- the IP address is on blocklists, has a low reputation, or its geolocation in third-party databases differs from the one chosen;
- the Proxy is incompatible with the User’s software, hardware or settings;
- the User chose the wrong type, country, quantity or Period;
- the Proxy is not used or not fully used, the traffic has been used up or the Package has expired;
- access was suspended or terminated due to a breach of the Agreement;
- the User changed their mind.
By default, refunds go to the Balance. At the User’s request and at the Operator’s discretion, a refund may be made to the original payment method if it supports this, net of payment system and network fees.
10.5Through Support, the User may request a refund of the unused Balance deposited with their own funds (excluding bonuses). The refund is made at the Operator’s discretion within 30 days after verification — to the original payment method or to details belonging to the User, net of fees. The Operator may refuse if there are signs of fraud, money laundering, a breach of the Agreement or open Complaints.
10.6Claims about crediting payments are accepted within 30 days of the payment date, and about Order delivery within 7 days of the payment date. After these periods, operations are deemed accepted by the User without objection.
10.7Before asking a bank or payment system to dispute a payment (chargeback), the User must contact Support. An unjustified payment dispute is a material breach of the Agreement.
10.8If a payment is disputed, the Operator may immediately suspend the Account and Services, block the Balance, reverse credits and operations related to the disputed payment, and recover from the User the payment amount, the payment system’s fees and penalties, and the costs of settling the dispute.
11
11.1Proxy replacement and checks
If a delivered Proxy doesn’t work for technical reasons on the Operator’s or Provider’s side, the User may request a replacement through Support, stating the Order number, Proxy address, time of the check and a description of the problem.
11.2A request about a Proxy not working from the moment of delivery is accepted within 24 hours of delivery. If no request is received in that time, the Proxy is deemed working at delivery. A request about a failure that occurred later is accepted until the end of the Period.
11.3The Operator reviews the request within a reasonable time, usually within 24 hours. If the failure is confirmed, the Operator issues an equivalent Proxy and keeps the remaining Period. If there’s no Proxy in the same country, a replacement in another country is made with the User’s consent.
11.4If a replacement can’t be provided within 72 hours of confirming the failure, the Operator refunds the cost of the remaining part of the Period to the Balance.
11.5Replacement and refund under clauses 11.3–11.4 are the User’s sole and exclusive remedies when a Proxy doesn’t work.
11.6Restrictions and blocks by Target resources, IP reputation, speed fluctuations and problems on the User’s side are not failures. Replacement in such cases is at the Operator’s discretion and may be paid and limited in number.
11.7The built-in checker shows whether a connection and a test request from the Service’s server succeeded at the time of the check. The result is informational, doesn’t reflect Proxy availability from the User’s network or for a specific Target resource, doesn’t change the Service status and is not in itself grounds for replacement or a refund.
12
12.1Acceptable use rules
The User is solely responsible for all traffic sent through their Proxies and its content. The Operator is a technical intermediary: it doesn’t initiate data transmission, choose its recipient or modify the transmitted information.
12.2It is prohibited to use the Service and Proxies for any activity that is illegal in the User’s country, the country where the Proxy is located, the Target resource’s country or the Kyrgyz Republic, as well as for:
12.3- fraud, phishing, carding, using other people’s payment data, accounts and personal data;
- unauthorized access to systems and accounts, password guessing, credential stuffing, exploiting vulnerabilities, scanning ports and vulnerabilities of other systems without their owners’ permission;
- DDoS attacks, flooding, load testing of other people’s resources and other actions that disrupt their operation;
- sending spam by email, SMS, in messengers, comments and feedback forms;
- distributing malware, controlling botnets, hosting phishing pages;
- distributing child sexual abuse material, extremist and terrorist material, calls for violence;
- trafficking in drugs, weapons, forged documents and other prohibited goods and services;
- infringing intellectual property rights, distributing pirated content, using peer-to-peer networks (BitTorrent and similar);
- money laundering, terrorist financing, sanctions evasion and transactions with sanctioned persons;
- generating fake clicks, impressions, installs and other artificial traffic to deceive advertisers and ad networks;
- stalking, threats, harassment, collecting and publishing third parties’ personal data without a legal basis;
- any other actions that create legal, reputational or financial risks for the Operator, Providers or IP address owners.
It is also prohibited to: resell or transfer Proxies and access to the Service to third parties without the Operator’s written consent; publish Connection details; bypass technical restrictions, limits and traffic metering; interfere with the Service, reverse-engineer it, or perform penetration or load testing of it; use the Service to circumvent an Account block.
12.4The User is responsible for complying with the rules of Target resources, the laws of the country where they are — including restrictions on using proxy servers, VPNs and other means of network access — and data protection laws when collecting information.
12.5The Operator may, but is not obliged to, monitor compliance with these rules, including analyzing connection metadata and traffic volumes, and introduce technical restrictions: close ports (including mail ports 25, 465 and 587), block access to certain resources and protocols, limit speed and the number of connections. The Operator’s lack of response to a violation doesn’t mean it agrees with it.
[ IMPORTANT · VIOLATIONS ]
If the rules are broken, the Operator may, without warning, suspend or terminate Services and the Account without a refund, withhold losses, Provider penalties and costs from the Balance, and pass information about the violation to Providers and competent authorities in accordance with applicable law.
13
13.1Complaints and requests from authorities
Abuse complaints about the Service’s IP addresses should be sent to abuse@ultraproxy.io stating the IP address, date and time with time zone, and a description of the violation.
13.2On receiving a Complaint, the Operator may immediately suspend the relevant Proxy or Account until the review is complete and request an explanation. The User must respond within 24 hours. No response or an unconvincing one is grounds for terminating the Service without a refund.
13.3Repeated justified Complaints, as well as Complaints about violations under clause 12.2, are grounds for immediate termination of service without a refund.
13.4Suspension time during a review isn’t compensated and doesn’t extend the Period if the violation is confirmed. If it isn’t confirmed, the Operator may at its discretion extend the Period by the suspension time.
13.5The Operator doesn’t disclose the User’s personal data to complainants, except as required by law or a court decision, and may inform Providers about Complaints and measures taken.
13.6The Operator discloses User data upon lawful requests from government authorities as described in the Privacy Policy, and may not notify the User if notification is prohibited by law or could hinder an investigation.
14
14.1Connected services
The User may allow a third-party service, including a TradeOn ecosystem service such as TradeOn Ultra, to access their Account. The scope of access is shown when the request is approved; the permission can be revoked in the Dashboard at any time.
14.2By granting access, the User instructs the Operator to share information about their Proxies and Connection details with that service and to perform actions at its request within the granted access. Such actions are deemed performed by the User.
14.3If the User suspects that access is being used without their knowledge, they must revoke it in the Dashboard immediately.
14.4Third-party services operate under their own terms. The Operator isn’t liable for their operation, availability, the actions of their users or the consequences of sharing data with them on the User’s instructions.
14.5The Operator may limit the number of requests from connected services and, if the Agreement is breached or the Service is at risk, suspend or revoke their access.
15
15.1User representations
By accepting the Agreement, the User represents that:
15.2- they are 18 or older, have legal capacity and are entitled to enter into the Agreement;
- they — and, if the User is an organization, its owners and managers — are not on sanctions lists applicable to the Operator and are not acting on behalf of such persons;
- funds used for payment were obtained lawfully, and payment methods belong to them or are used with the owner’s consent;
- they will use the Service only for lawful purposes and in accordance with the Agreement;
- the information they provide is accurate and will be updated in a timely manner;
- they understand how proxy servers work and are responsible for configuring their own software.
The Operator relies on these representations. If any of them proves untrue, the Operator may terminate service without a refund and claim damages.
16
Disclaimer of warranties
[ IMPORTANT · WARRANTIES ]
16.1The Service and Proxies are provided “as is” and “as available”. To the maximum extent permitted by law, the Operator gives no express or implied warranties, including warranties of fitness for a particular purpose.
In particular, the Operator doesn’t guarantee:
16.2- uninterrupted and error-free operation of the Service and Proxies, specific speed, latency or uptime;
- that Target resources will accept IP addresses and won’t restrict or block the User’s access, accounts and actions;
- that IP addresses are absent from blocklists and fraud databases, or their reputation and usage history;
- that an IP address’s geolocation in third-party geolocation databases matches the chosen country or city;
- the User’s anonymity: a Proxy doesn’t hide data disclosed by the browser, applications, DNS requests, WebRTC and the device fingerprint;
- compatibility of Proxies with the User’s software, hardware and network;
- availability of Proxies of the required type, in the required country and quantity;
- keeping an IP address after the Period ends;
- delivery of notifications by email and in Telegram.
The Service depends on Providers, payment systems, data centers, telecom operators and other third parties. The Operator isn’t liable for their actions or inaction but reasonably assists in resolving problems.
16.3The Operator may carry out scheduled and unscheduled maintenance, including without prior notice. Temporary unavailability of the Service is not a breach of the Agreement.
17
Limitation of liability
[ IMPORTANT · LIABILITY CAP ]
17.1The Operator’s total liability for all claims related to the Agreement and the Service is limited to the amount actually paid by the User for the specific Service the claim relates to, over the 3 months before the event giving rise to it.
The Operator isn’t liable for indirect losses and lost profits, including the blocking, restriction or loss of the User’s accounts on Target resources (social networks, ad accounts, marketplaces and other platforms), loss of data, customers, income and business reputation, business downtime and the cost of alternative services — whether or not the Operator could foresee such losses.
17.2The Operator isn’t liable for the content of traffic and the User’s actions through Proxies; third-party claims related to the use of Proxies; actions of Target resources, Providers, payment systems, banks, telecom operators and government authorities; blocking of the Service or protocols in certain countries; failures of the User’s hardware, software and networks; consequences of the User losing their credentials.
17.3The limitations in this section don’t apply to liability for the Operator’s willful misconduct and fraud, or where limiting liability is prohibited by applicable law; in such cases liability is limited to the minimum amount permitted by law.
17.4Claims against the Operator may be brought no later than 1 year from when the User learned or should have learned of the breach, unless mandatory law sets a longer period.
18
18.1Indemnification
The User undertakes to defend the Operator, its affiliates, managers, employees and Providers and to compensate them for all losses, fines, penalties, legal and other costs, including reasonable legal fees, arising from: the User’s breach of the Agreement or the law; traffic and actions performed through their Proxies and Account; claims of third parties, Providers and government authorities related to the User’s use of the Service; infringement of third-party rights.
18.2The Operator may withhold amounts to be compensated from the User’s Balance and from amounts due for refund.
18.3The Operator may conduct the defense against third-party claims itself; the User undertakes to provide the necessary assistance.
19
19.1Suspension and termination
The Operator may at any time, without prior notice, suspend, restrict or terminate access to the Account, Services and Balance if: the User breaches the Agreement or there are reasonable grounds to suspect so; a Complaint or a request from a government authority is received; there are signs of fraud, hacking, money laundering or use of someone else’s payment methods; a payment is disputed; a Provider or payment partner requires it; continuing service creates legal, sanctions, reputational or technical risks; the User fails the check under clause 4.6.
19.2If service is terminated due to the User’s breach, the cost of paid Services and the Balance funds related to the breach are not refunded; the Operator may withhold losses, penalties and costs from the Balance.
19.3The User may stop using the Service at any time and request Account deletion through Support. On Account deletion, active Services end without a refund of their cost; the remaining Balance is refunded under clause 10.5.
19.4The Operator may terminate the Agreement without giving reasons by notifying the User at least 14 days in advance. In that case, the Operator refunds the unused Balance and the cost of the unused part of paid Services.
19.5The Operator may delete an Account the User hasn’t signed in to for more than 24 months if it has no active Services and a zero Balance.
19.6After the Agreement ends, provisions that by their nature should continue remain in force: payment, refunds, representations, disclaimer of warranties, limitation of liability, indemnification, intellectual property, governing law and dispute resolution.
20
20.1Intellectual property
The Site, Dashboard, code, design, texts, trademarks and other Service materials belong to the Operator or are used by it lawfully. The Agreement doesn’t transfer any rights to them to the User, except the right to use the Service as intended.
20.2Copying, modifying and distributing Service materials and creating derivative works without the Operator’s written consent is prohibited unless permitted by law.
20.3Names and trademarks of third-party services mentioned on the Site, including Google and Telegram, belong to their owners and are used only to indicate compatibility and sign-in methods.
20.4The Operator may use the User’s feedback, suggestions and ideas for improving the Service free of charge and without restriction.
21
21.1Changes to the terms and the Service
The Operator may change the Agreement unilaterally. The current version is published on the Site with its number and date.
21.2The Operator notifies of material changes by email or in the Dashboard at least 7 days before they take effect. Changes required by law, security or new features may take effect upon publication.
21.3Continued use of the Service after changes take effect means accepting them. A User who disagrees must stop using the Service; paid Periods remain valid until they end on the previous pricing terms.
21.4The Operator may change, add and discontinue features, Proxy types, countries, payment methods and Providers, and may shut down the Service entirely. The Operator gives at least 14 days’ notice of a shutdown and refunds the cost of the unused part of Services and the remaining Balance.
22
22.1Force majeure
The parties are released from liability for failure to perform obligations, except the User’s payment obligation, caused by circumstances beyond their reasonable control: natural disasters, military action, epidemics, decisions of government authorities, sanctions, blocking, failures of Providers, data centers, payment systems and communication networks, DDoS and hacker attacks, mass power outages.
22.2If such circumstances last more than 30 days, either party may withdraw from the Agreement. In that case, the Operator refunds the unused Balance net of fees.
23
23.1Governing law and dispute resolution
The Agreement and related relations are governed by the law of the Kyrgyz Republic, without regard to its conflict-of-law rules.
23.2Before going to court, a party must send the other party a written claim. Claims to the Operator are sent to legal@ultraproxy.io stating the Account, Order number, the substance of the claim and supporting documents. The claim response period is 30 days.
23.3Disputes not settled within 30 days of receipt of the claim are finally resolved by the competent court of the Kyrgyz Republic at the Operator’s location. The court’s decision is final and binding on the parties.
23.4Either party may apply to a competent court for interim measures before or during court proceedings.
23.5To the maximum extent permitted by law, disputes are heard only on an individual basis. The User waives participation in class (collective) actions and trial by jury.
24
24.1Miscellaneous
Notices to the User are sent to the Account email address or the Dashboard and are deemed received when sent. Notices to the Operator are sent to the addresses in section 25.
24.2The parties recognize the legal force of electronic documents, messages and actions in the Dashboard, as well as the Operator’s accounting data as evidence.
24.3The User may not transfer rights and obligations under the Agreement without the Operator’s written consent. The Operator may transfer them to an affiliate or successor by notifying the User.
24.4If any provision of the Agreement is held invalid or unenforceable, it applies to the maximum extent permitted, and the remaining provisions remain in force.
24.5The Operator’s failure to exercise any right is not a waiver of it.
